Spree Terms of Service

Welcome to Spree. These Terms of Service ("Terms") govern your access to and use of the Spree mobile application, website, and related services (collectively, the "Services"), operated by Spree Technologies, LLC ("Spree," "we," "our," or "us").

By accessing or using Spree, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

Spree is intended for individuals 21 years of age or older.

By using the Services, you represent and warrant that:

  • You are at least 21 years old
  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Services under applicable law

Spree reserves the right to suspend or terminate accounts that violate age or eligibility requirements.

2. Account Registration

To use certain features, you must create an account

You agree to:

  • Provide accurate and complete information
  • Keep your account information up to date
  • Maintain the security of your account credentials

You are responsible for all activity that occurs under your account.

3. Platform Overview

Spree is a nightlife utility platform that may include:

  • Venue and event discovery
  • QR-based check-ins and digital passes (“SpreeTag”)
  • Purchasable items (e.g., tickets, fast passes, table deposits)
  • Rewards and points
  • Venue and host promotions

Spree does not own, operate, or control venues or events listed on the platform.

4. Purchases & Payments

A. Purchasable's

Certain features require payment, including but not limited to:

  • Event tickets
  • Fast passes
  • Venue perks or deposits

All purchases are:

  • Final unless otherwise stated
  • Subject to venue rules and availability

Spree is not responsible for venue policies, entry decisions, or service quality.

B. Payments

Payments are processed through third-party payment providers. Spree does not store full payment credentials.

Pricing, availability, and terms may change at any time.

5. Refunds, Chargebacks & Venue Changes

All purchases made through Spree are fulfilled by third-party venues or event hosts, not by Spree directly.

All sales are final unless otherwise stated by the venue or event.

Entry denial due to capacity limits, dress code enforcement, venue policies, late arrival, or safety decisions does not guarantee a refund.

Events, promotions, or perks may be modified, delayed, or canceled at the discretion of the venue or due to circumstances beyond control.

Users who initiate fraudulent or excessive chargebacks may have their Spree account suspended or terminated.

Spree may assist with dispute communication but does not guarantee refunds and is not responsible for venue fulfilment decisions.

6. QR Codes, Check-Ins & Passes

Spree uses QR codes for:

  • Entry validation
  • Check-ins
  • Redemption of passes or rewards

You agree that:

  • QR codes are single-use or time-limited
  • Sharing, duplicating, or abusing QR codes is prohibited
  • Venue staff may deny entry for invalid or misused passes

Purchase or possession of a pass does not guarantee entry if a venue reaches capacity or enforces safety, legal, or operational policies.

Spree reserves the right to revoke passes or rewards in cases of misuse, fraud, or system abuse.

7. Rewards & Points (SpreePoints)

Rewards and points:

  • Have no cash value
  • Are non-transferable
  • May expire or change without notice

Spree may adjust, suspend, or discontinue rewards programs at any time.

8. User Content

You may submit content (e.g., photos, profile info).

By submitting content, you grant Spree a non-exclusive, royalty-free license to use, display, and distribute the content within the Services.

You agree not to submit content that is:

  • Illegal, offensive, or misleading
  • Infringing on others' rights
  • Spam or promotional without authorization

Spree may remove content at its discretion.

9. Venue & Event Disclaimer

Venues and hosts are independent third parties.

Spree:

  • Does not guarantee entry, capacity, pricing, or experience
  • Is not responsible for venue actions, policies, or incidents
  • Does not guarantee event accuracy or attendance levels

All venue participation is at your own risk.

10. Assumption Of Risk

You acknowledge and agree that nightlife environments inherently involve risks, including but not limited to alcohol consumption, large crowds, physical activity, security enforcement, and interactions with third parties.

By using Spree and attending venues or events listed on the platform, you voluntarily assume all associated risks and agree that Spree is not responsible for personal injury, property damage, or losses that may occur before, during, or after venue attendance.

11. Force Majeure

Spree shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, power outages, government orders, fire marshal actions, venue shutdowns, weather conditions, labor disputes, technical failures, or emergencies.

In such cases, services, events, or purchases may be delayed, modified, or canceled without liability.

12. Hardware & Data Disclaimer

Some venues may use people-counting or entry-tracking hardware.

Spree does not guarantee:

  • Absolute accuracy of crowd or pulse metrics
  • Real-time correctness in all conditions

All insights are informational only and should not be relied upon as guarantees.

13. No Agency Or Employment Relationship

Nothing in these Terms creates any partnership, joint venture, employment, agency, or franchise relationship between Spree and any venue, host, promoter, or user.

Venues, hosts, and promoters are independent third parties and are solely responsible for their operations, staff, events, policies, and compliance with applicable laws.

14. Prohibited Conduct

You agree not to:

  • Violate laws or regulations
  • Misuse QR codes, rewards, or passes
  • Interfere with the platform's operation
  • Attempt to access systems or data without authorization
  • Harass venues, staff, or other users

Violation may result in suspension or termination without notice.

15. Termination

Spree may suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraud, abuse, or misuse
  • Legal or safety reasons

You may stop using the Services at any time.

16. Disclaimer Of Warranties

Spree is provided "as is" and "as available".

We make no warranties regarding:

  • Availability or uptime
  • Accuracy of data or listings
  • Venue participation or outcomes

Use of the Services is at your own risk.

17. Limitation Of Liability

To the maximum extent permitted by law:

Spree shall not be liable for:

  • Personal injury or property damage
  • Lost profits, revenue, or data
  • Venue actions or event outcomes

Spree's total liability shall not exceed the amount you paid to Spree in the three (3) months prior to the claim.

18. Platform & App Store Disclaimer

The Services may be accessed through third-party platforms, including the Apple App Store and Google Play Store.

You acknowledge that:

  • Spree, not Apple or Google, is responsible for the Services
  • Apple and Google are not parties to these Terms
  • Any claims related to the Services must be directed to Spree, not the platform provider

19. Indemnification

You agree to indemnify and hold harmless Spree from any claims arising out of:

  • Your use of the Services
  • Your content
  • Your violation of these Terms

20. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis, rather than in court.

You waive the right to participate in any class action or representative proceeding.

Arbitration shall be conducted in the State of Arizona, unless otherwise required by law.

21. Intellectual Property

All content, trademarks, logos, and software used in connection with the Services are the property of Spree or its licensors. You may not use, copy, or distribute any part of the Services without our express written permission.

22. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

23. Changes To Terms

Spree may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance.
